Jamie K. Tract is a shareholder at Parsons Behle & Latimer and a transactional attorney who advises companies on complex business transactions, with a particular focus on the mining and natural resources industry. As a member of the firm's corporate practice group, and the energy, environmental and natural resources practice group, she represents public and private companies in structuring, negotiating, and executing strategic transactions that support growth, investment, and long-term business objectives. She regularly coordinates with co-counsel at national and international law firms and with in-house legal teams to efficiently manage cross-border transactions, multi-jurisdictional matters, and global business initiatives.
Jamie's practice centers on mergers and acquisitions, corporate reorganizations, commercial contracts, corporate governance, and sophisticated transaction structuring. She is experienced in negotiating and drafting joint venture agreements, earn-in agreements, strategic alliances, exploration and development agreements, option agreements, purchase and sale agreements, royalty agreements, deeds of trust, and other commercial arrangements that are fundamental to the exploration, development, operation, and financing of mining projects.
Jamie serves as outside corporate counsel to domestic and international mining and refining companies on matters involving mineral rights, mining property acquisitions and dispositions, precious metals transactions, due diligence, title issues, procurement, operational agreements, regulatory compliance, financing transactions, and ongoing corporate governance. Her experience spans the full lifecycle of mining projects, from early-stage exploration and investment through development, operations, acquisitions, and strategic partnerships.
